Many foreign companies use logistics warehouses in Spain to speed up the distribution of goods to their customers. However, one of the most common questions is whether having a warehouse in Spanish territory automatically implies the existence of a permanent establishment for VAT purposes.

The answer is: not necessarily.

When does a permanent establishment exist?

For a permanent establishment to exist, it is not enough to have goods stored in Spain. The regulations require that the company has a sufficient structure of human and technical resources allowing it to operate independently.

Therefore, the mere use of a warehouse is generally not enough to create tax obligations in Spain.

The importance of the logistics operator

In many cases, foreign companies outsource storage and logistics management to independent operators.

When these operators are limited to providing storage, warehousing or dispatch services, without being involved in the commercial management of the business, the existence of the warehouse alone does not determine the creation of a permanent establishment.

In addition, it is relevant that business decisions continue to be taken outside Spain and that the company does not have its own staff in Spanish territory.

What about imports?

When goods come from third countries and the customer carries out the importation in their own name and on their own behalf, the tax obligations arising from such importation fall on the customer.

Therefore, the use of a logistics warehouse in Spain does not necessarily imply that the foreign supplier must register for Spanish VAT purposes.

Conclusion

The existence of a logistics warehouse in Spain does not automatically create a permanent establishment for VAT purposes. Each case must be analysed individually, but where logistics activities are outsourced, there are no own human resources, and decisions are taken abroad, the non-resident company may avoid additional tax obligations in Spain.

Proper planning of logistics and documentation processes is essential to minimise risks and ensure full compliance with tax regulations.
